CHAPTER III. INSTRUCTIONS TO PARTICIPANTS.

H. TENDER GAGAL DAN TINDAK LANJUT TENDER GAGAL.
H. TENDER FAILED AND FOLLOW UP TENDER FAILED.

40. Tender Gagal.
40.1. Pokja (Kelompok Kerja) Pemilihan menyatakan tender gagal, apabila:
a. terdapat kesalahan yang substansial dalam proses evaluasi;
b. tidak ada peserta yang menyampaikan Dokumen Penawaran setelah ada pemberian waktu perpanjangan;
c. tidak ada peserta yang lulus evaluasi penawaran;
d. dalam Dokumen Pemilihan ditemukan kesalahan atau Dokumen Pemilihan tidak sesuai dengan ketentuan dalam Peraturan Perundang-undangan terkait Pengadaan Barang/Jasa Pemerintah;
e. seluruh peserta terlibat Korupsi, Kolusi, dan Nepotisme (KKN);
f. seluruh peserta terlibat persaingan usaha tidak sehat;
g. seluruh penawaran harga terkoreksi di atas HPS (Harga Perkiraan Sendiri); atau
h. calon pemenang dan calon pemenang cadangan 1 dan 2, setelah dilakukan evaluasi dengan sengaja tidak hadir dalam klarifikasi dan/atau pembuktian kualifikasi.
40.2. PA/KPA (Pengguna Anggaran / Kuasa Pengguna Anggaran) menyatakan Tender gagal, apabila KKN (Korupsi, Kolusi, dan Nepotisme) melibatkan Pokja (Kelompok Kerja) Pemilihan / PPK (Pejabat Pembuat Komitmen)/Peserta.
40.3. Setelah tender dinyatakan gagal, diumumkan kepada seluruh peserta.
41. Tindak Lanjut Tender Gagal.
41.1. Setelah pengumuman adanya tender gagal, Pokja (Kelompok Kerja) Pemilihan atau Pokja Pemilihan pengganti (apabila diganti) meneliti dan menganalisis penyebab terjadinya tender gagal, menentukan pilihan langkah selanjutnya, yaitu antara lain melakukan:
a. evaluasi ulang terhadap Dokumen Penawaran yang telah masuk;
b. penyampaian ulang Dokumen Penawaran hanya untuk peserta yang memasukkan penawaran;
c. tender ulang; atau
d. penghentian proses tender.
41.2. PA/KPA (Pengguna Anggaran / Kuasa Pengguna Anggaran), PPK (Pejabat Pembuat Komitmen), dan/atau Pokja (Kelompok Kerja) Pemilihan dilarang memberikan ganti rugi kepada peserta tender apabila penawarannya ditolak atau tender dinyatakan gagal.
41.3. Pokja (Kelompok Kerja) pemilihan melakukan evaluasi penawaran ulang apabila terdapat kesalahan dalam evaluasi.
41.4. Pokja (Kelompok Kerja) pemilihan mengundang peserta untuk menyampaikan penawaran ulang, apabila ditemukan kesalahan dalam Dokumen Pemilihan atau tidak sesuai dengan ketentuan dalam Peraturan Perundang-undangan terkait Pengadaan Barang/Jasa Pemerintah, dengan terlebih dahulu melakukan perbaikan Dokumen Pemilihan.
41.5. Pokja (Kelompok Kerja) pemilihan melakukan tender ulang apabila:
a. tidak ada peserta yang menyampaikan Dokumen Penawaran setelah ada pemberian
waktu perpanjangan;
b. tidak ada peserta yang lulus evaluasi penawaran;
c. seluruh peserta terlibat Korupsi, Kolusi, dan Nepotisme (KKN);
d. seluruh peserta terlibat persaingan usaha tidak sehat;
e. seluruh penawaran harga di atas HPS (Harga Perkiraan Sendiri); dan/atau
f. KKN (Korupsi, Kolusi, dan Nepotisme) melibatkan Pokja (Kelompok Kerja) Pemilihan/ PPK (Pejabat Pembuat Komitmen).
41.6. Dalam hal tender ulang yang disebabkan oleh KKN (Korupsi, Kolusi, dan Nepotisme) yang melibatkan Pokja (Kelompok Kerja) Pemilihan / PPK (Pejabat Pembuat Komitmen), tender ulang dilakukan oleh Pokja (Kelompok Kerja) Pemilihan/ PPK (Pejabat Pembuat Komitmen) yang baru.
41.7. Pokja (Kelompok Kerja) pemilihan melakukan penghentian proses pemilihan apabila berdasarkan hasil peninjauan dan komunikasi dengan PA/KPA (Pengguna Anggaran / Kuasa Pengguna Anggaran)/ PPK (Pejabat Pembuat Komitmen), kebutuhan masih dapat ditunda dan tidak cukup waktu lagi untuk melaksanakan proses pemilihan dan/atau pelaksanaan pekerjaan.
41.8. Khusus untuk tender gagal yang disebabkan karena kesalahan dalam dokumen pemilihan,
apabila penyelesaiannya tidak dapat dilakukan sesuai ketentuan 41.4, maka dilakukan dengan cara Tender Ulang.
41.9. Dalam hal Tender ulang gagal, Pokja (Kelompok Kerja) Pemilihan melakukan Penunjukan Langsung dengan kriteria:
a. persetujuan PA/KPA (Pengguna Anggaran / Kuasa Pengguna Anggaran);
b. kebutuhan tidak dapat ditunda; dan
c. tidak cukup waktu untuk melaksanakan Tender.
40. Tender Fail.
40.1. Working Group of Election states tenders fail, if:
a. there is a substantial error in the evaluation process;
b. no participant submits the Bidding Document after there is an extension of time;
c. no participant has passed the bid evaluation;
d. in the Bidding Document found an error or the Bidding Document is not in accordance with the provisions in the Legislation concerning Government Procurement of Goods / Services;
e. all participants were involved in Corruption, Collusion and Nepotism;
f. all participants are involved in unfair business competition;
g. all price quotes are corrected above the Self Estimated Price; or
h. prospective winners and prospective reserve winners of 1st and 2nd, after an evaluation is deliberately not present in the clarification and / or verification of qualifications.
40.2. The Budget Users / The Budget User Proxies stated that the Tender failed, if Corruption, Collusion and Nepotism involved the Election Working Group / The Commitment Making Officials / Participants.
40.3. After the tender was declared failed, it was announced to all participants.
41. Follow-Up Tender Fails.
41.1. After the announcement of a failed tender, the Working Group of Election or Working Group Election of the substitute (if replaced) examines and analyzes the causes of failed tenders, determines the choice of the next step, which includes:
a. re-evaluation of the Bid Documents that have been entered;
b. re-Submission of Bid Documents only to participants entering the offer;
c. re-tendering; or
d. termination of the tender process.
41.2. The Budget Users / The Budget User Proxies, The Commitment Making Officials, and / or The Working Groups of Elections are prohibited from providing compensation to tender participants if the offer is rejected or the tender is declared failed.
41.3. The Working Group of election evaluates the offer if there is an error in the evaluation.

41.4. The Election Working Group invites participants to submit a re-offer, if an error is found in the Bidding Document or is not in accordance with the provisions in the Legislation concerning Government Procurement of Goods / Services, by first repairs the Bidding Document.
41.5. The Election Working Group conducts a re-tender if:
a. no participant submits the Bid Document after giving extension time;
b. no participant has passed the bid evaluation;
c. all participants were involved in Corruption, Collusion and Nepotism;
d. all participants are involved in unfair business competition;
e. all price quotes above the Self Estimated Price; and / or
f. Corruption, Collusion and Nepotism involves the Working Group ofElections / The Commitment Making Officials.
41.6. In the case of a re-tender caused by Corruption, Collusion and Nepotism involving the Election Working Group / The Commitment Making Officer, a re-tender is conducted by new Election Working Group / new Commitment Making Officer.
41.7. The Election Working Group stops the selection process if based on the results of a review and communication with The Budget Users / The Budget User Authorities / The Commitment Making Officers, the needs can still be postponed and there is not enough time to carry out the selection process and / or execution of work.
41.8. Especially for failed tenders caused by errors in election documents, if the settlement cannot be carried out in accordance with the provisions of 41.4, it will be conducted by means of a Re-Tender
41.9. In the event that the re-tender fails, the Working Group of Election shall make a Direct Appointment with the criteria:
a. approval from Budget User / Budget User Proxy;
b. needs cannot be delayed; and
c. not enough time to carry out the Tender.

BAB III. INSTRUKSI KEPADA PESERTA (IKP).
CHAPTER III. INSTRUCTIONS TO PARTICIPANTS.

I. JAMINAN PELAKSANAAN.
I. GUARANTEE OF IMPLEMENTATION.

42. Jaminan Pelaksanaan.
42.1. Jaminan Pelaksanaan diberikan Penyedia sebelum penandatanganan Kontrak.
42.2. Jaminan Pelaksanaan dikembalikan kepada Penyedia setelah:
a. penyerahan seluruh pekerjaan;
b. penyerahan Jaminan Pemeliharaan sebesar 5% (lima perseratus) dari nilai Kontrak;
atau
c. pembayaran termin terakhir/bulan terakhir/sekaligus telah dikurangi uang
retensi sebesar 5% (lima perseratus) dari nilai Kontrak (apabila diperlukan).
42.3. Jaminan Pelaksanaan diserahkan kepada Pejabat Pembuat Komitmen, memenuhi ketentuan
sebagai berikut:
a. Paket pekerjaan dengan nilai HPS (Harga Perkiraan Sendiri) sampai dengan Rp10.000.000.000,00 (sepuluh miliar rupiah) dapat diterbitkan oleh:
1) Bank Umum;
2) Perusahaan Penjaminan;
3) Perusahaan Asuransi;
4) Lembaga khusus yang menjalankan usaha di bidang pembiayaan, penjaminan, dan asuransi untuk mendorong ekspor Indonesia sesuai dengan ketentuan peraturan perundangundangan di bidang Lembaga pembiayaan ekspor Indonesia; atau
5) Konsorsium perusahaan asuransi umum / Lembaga penjaminan / perusahaan penjaminan yang mempunyai program asuransi kerugian (suretyship).
huruf a.2 sampai dengan a.5 telah ditetapkan/ mendapatkan rekomendasi dari Otoritas Jasa Keuangan (OJK).
b. Paket pekerjaan dengan nilai HPS (Harga Perkiraan Sendiri) di atas Rp10.000.000.000,00 (sepuluh miliar rupiah) diterbitkan oleh:
1) Bank Umum; atau
2) Konsorsium perusahaan asuransi umum/Lembaga penjaminan/ perusahaan penjaminan yang mempunyai program asuransi kerugian (suretyship).
huruf b.2 telah ditetapkan/ mendapatkan rekomendasi dari Otoritas Jasa Keuangan (OJK).
c. Masa berlaku Jaminan Pelaksanaan sejak tanggal penandatanganan Kontrak sampai
dengan serah terima pertama pekerjaan berdasarkan Kontrak (PHO, Provisional Hand Over) sebagaimana tercantum dalam LDP (Lembar Data Pemilihan);
d. Nama Penyedia sama dengan nama yang tercantum dalam surat Jaminan Pelaksanaan;
e. Besaran nilai Jaminan Pelaksanaan tidak kurang dari nilai jaminan yang ditetapkan;
f. Besaran nilai Jaminan Pelaksanaan dicantumkan dalam angka dan huruf;
g. Nama Pejabat Pembuat Komitmen yang menerima Jaminan Pelaksanaan sama
dengan nama Pejabat Pembuat Komitmen yang menandatangan kontrak;
h. Paket pekerjaan yang dijamin sama dengan paket pekerjaan yang tercantum dalam
Surat Penunjukan Penyedia Barang/Jasa (SPPBJ);
i. Jaminan Pelaksanaan harus dapat dicairkan tanpa syarat (unconditional) sebesar nilai
jaminan dalam jangka waktu paling lambat 14 (empat belas) hari kerja setelah surat
pernyataan wanprestasi dari Pejabat Pembuat Komitmen diterima oleh penerbit Jaminan;
j. Jaminan Pelaksanaan atas nama KSO (Kerja Sama Operasi) ditulis atas nama KSO (Kerja Sama Operasi) atau masing-masing anggota KSO (Kerja Sama Operasi) [apabila masing-masing mengajukan Jaminan Pelaksanaan secara terpisah]; dan
k. Memuat nama, alamat dan tanda tangan pihak penjamin.
42.4. Pejabat Pembuat Komitmen mengkonfirmasi dan mengklarifikasi secara tertulis substansi dan keabsahan/keaslian Jaminan Pelaksanaan kepada penerbit jaminan apabila ada hal yang meragukan.
42.5. Kegagalan penyedia yang ditunjuk untuk menyerahkan Surat Jaminan Pelaksanaan
dipersamakan dengan penolakan untuk menandatangani Kontrak.
42.6. Ketentuan lebih lanjut mengenai pencairan Jaminan Pelaksanaan diatur dalam Syarat - Syarat Umum Kontrak.
42. Implementation Guarantee.
42.1. The Guarantee of Implementation is given by the Provider before the signing of the Contract.
42.2. The Implementation Guarantee is returned to the Provider after:
a. surrender of all work;
b. surrender of Maintenance Guarantee amounting to 5% (five percent) of the value of the Contract; or
c. payment of the last stage / last month / at the same time has been reduced by retention money of 5% (five percent) of the value of the Contract (if needed).
42.3. The Implementation Guarantee is submitted to the Commitment Making Officer, fulfilling the conditions as follows:
a. Work packages with a value of Self Estimated Price up to Rp 10,000,000,000.00 (ten billion rupiahs) can be issued by:
1) Commercial Banks;
2) Guarantee Company;
3) Insurance Companies;
4) Special institutions that run businesses in the fields of financing, guarantees and insurance to encourage Indonesian exports in accordance with the provisions of laws and regulations in the field of Indonesian export financing institutions; or
5) Consortium of general insurance companies / guarantee institutions / guarantee companies that have suretyship programs.
letters a.2 to a.5 have been determined / obtained a recommendation from the Financial Services Authority.
b. Job packages with a value of Self Estimated Price above Rp.10,000,000,000.00 (ten billion rupiahs) are issued by:
1) Commercial Banks; or
2) Consortium of general insurance companies / guarantee institutions / guarantee companies that have suretyship programs.
letter b.2 has been determined / obtained a recommendation from the Financial Services Authority.
c. The validity period of the Guaranteed Implementation from the date of signing the Contract until with the first handover of work based on a Contract (PHO, Provisional Hand Over) as stated in the Election Data Sheet;
d. The Provider's name is the same as the name stated in the Implementation Guarantee letter;
e. The value of the Implementation Guarantee is not less than the guaranteed value;
f. The value of the Implementation Guarantee is stated in numbers and letters;
g. The name of the Commitment Making Official who receives the same Implementation Guarantee with the name of the Committing Maker Officer who signs the contract;
h. Work packages that are guaranteed to be the same as the work packages listed in Letter of Appointment for Goods / Services Providers;
i. The guarantee of implementation must be disbursed without an unconditional amount of value guarantee within no later than 14 (fourteen) working days after the letter a statement of default from the Commitment Making Officer received by the issuer of the Guarantee;
j. The Implementation Guarantee on behalf of the Operational Cooperation is written on behalf of the Joint Operation or each member of the Operational Cooperation [if each submits a Guarantee of Implementation separately]; and
k. Contains the name, address and signature of the guarantor.

42.4. The Commitment Making Official confirms and clarifies in writing the substance and validity / authenticity of the Implementation Guarantee to the publisher of the guarantee if there is any doubt.
42.5. Failure of the designated provider to submit an Implementation Guarantee Letter equated with refusal to sign a Contract.
42.6. Further provisions regarding the disbursement of the Implementation Guarantee are governed by the General Conditions of the Contract.

J. SIGNING OF CONTRACTS.

43. Penandatanganan Kontrak.
43.1. Penandatanganan Kontrak dilakukan setelah DIPA/DPA (Daftar Isian Pelaksanaan Anggaran / Dokumen Pelaksanaan Anggaran) ditetapkan.
43.2. Sebelum penandatanganan kontrak Pejabat Pembuat Komitmen wajib memeriksa apakah
pernyataan dalam Data Isian Kualifikasi masih berlaku. Apabila salah satu pernyataan tersebut sudah tidak terpenuhi, maka penandatanganan kontrak tidak dapat dilakukan.
43.3. Penandatanganan kontrak dilakukan setelah diterbitkan Surat Penunjukan Penyedia Barang/Jasa (SPPBJ), dan setelah penyedia menyerahkan Jaminan Pelaksanaan, dengan ketentuan:
a. nilai Jaminan Pelaksanaan untuk harga penawaran terkoreksi antara 80% (delapan
puluh perseratus) sampai dengan 100% (seratus perseratus) nilai total HPS (Harga Perkiraan Sendiri) adalah sebesar 5% (lima perseratus) dari nilai Kontrak; atau
b. nilai Jaminan Pelaksanaan untuk harga penawaran atau penawaran terkoreksi dibawah 80% (delapan puluh perseratus) nilai total HPS (Harga Perkiraan Sendiri) adalah sebesar 5% (lima perseratus) dari nilai total HPS (Harga Perkiraan Sendiri).
43.4. Pejabat Pembuat Komitmen dan penyedia tidak diperkenankan mengubah substansi Dokumen Pemilihan sampai dengan penandatanganan Kontrak, kecuali mempersingkat waktu pelaksanaan pekerjaan dikarenakan jadwal pelaksanaan pekerjaan yang ditetapkan sebelumnya akan melewati batas tahun anggaran.
43.5. Dalam hal perubahan waktu pelaksanaan pekerjaan melewati batas tahun anggaran, maka
penandatanganan kontrak dilakukan setelah mendapat persetujuan kontrak tahun jamak.
43.6. Pejabat Pembuat Komitmen dan Penyedia wajib memeriksa konsep Kontrak meliputi substansi, bahasa, redaksional, angka dan huruf serta membubuhkan paraf pada setiap lembar Dokumen Kontrak.
43.7. Menetapkan urutan hierarki Kontrak Kerja Konstruksi (Surat Perjanjian Kerja)/ adendum
Surat Perjanjian (apabila ada),
a. adendum Surat Perjanjian (apabila ada);
b. Surat Perjanjian;
c. Surat penawaran berikut Daftar Kuantitas dan Harga;
d. Syarat-Syarat Khusus Kontrak;
e. Syarat-Syarat Umum Kontrak;
f. spesifikasi teknis; dan
g. gambar-gambar.
dengan maksud apabila terjadi pertentangan ketentuan antara bagian satu dengan bagian yang lain, maka berlaku urutan hierarki hukum.
43.8. Banyaknya rangkap kontrak dibuat sesuai kebutuhan, yaitu:
a. sekurang-kurangnya 2 (dua) Kontrak asli, terdiri atas:
1) kontrak asli pertama untuk Pejabat Pembuat Komitmen dibubuhi meterai pada bagian yang ditandatangani oleh penyedia; dan
2) kontrak asli kedua untuk penyedia dibubuhi meterai pada bagian yang ditandatangani oleh Pejabat Pembuat Komitmen;
b. rangkap kontrak lainnya (apabila diperlukan) tanpa dibubuhi meterai.
43.9. Pihak yang berwenang menandatangani kontrak atas nama penyedia adalah direktur
utama/pimpinan perusahaan atau yang namanya tercantum dalam Akta Pendirian/Anggaran Dasar, yang telah didaftarkan sesuai dengan peraturan perundang-undangan.
43.10. Pihak lain yang bukan direktur utama / pimpinan perusahaan atau yang namanya tidak disebutkan dalam Akta Pendirian / Anggaran Dasar, dapat menandatangani Kontrak, sepanjang pihak tersebut adalah pengurus/karyawan perusahaan yang berstatus sebagai tenaga kerja tetap dan mendapat kuasa atau pendelegasian wewenang yang sah dari direktur utama /pimpinan perusahaan / pengurus atau pihak yang sah berdasarkan Akta Pendirian / Anggaran Dasar untuk menandatangani Kontrak.
43.11. Pejabat Pembuat Komitmen meng-input-kan data kontrak dan mengunggah hasil pemindaian dokumen kontrak yang telah ditandatangani pada aplikasi SPSE (Sistem Pengadaan Secara Elektronik).
43. Signing of Contract.
43.1. The signing of the contract is carried out after the Budget Implementation List / The Budget Implementation Document is stipulated.
43.2. Before signing the contract, the Commitment Making Officer must check whether statement in Qualification Data is still valid. If one of these statements is not fulfilled, then the signing of the contract cannot be done.
43.3. The signing of the contract is carried out after the Letter of Appointment of the Goods / Services Provider  is issued, and after the provider submit an Implementation Guarantee, provided that:
a. the value of the Implementation Guarantee for the offer price is corrected between 80% (eight ten percent) up to 100% (one hundred percent) of the total value of Self Estimated Price is of 5% (five percent) of the value of the Contract; or
b. The value of the Implementation Guarantee for the offer price or offer corrected below 80% (eighty percent) of the total value of the Self Estimated Price is 5% (five percent) of the total value of the Self Estimated Price.
43.4. The Commitment Making Officials and providers are not permitted to change the substance of the Bidding Document until the signing of the Contract, except to shorten the time of execution of the work because the schedule for the implementation of the work previously set will exceed the budget year limit.
43.5. In the case of changes in the timing of work execution beyond the budget year, then the signing of the contract is carried out after obtaining approval for the multi-year contract.
43.6. The Commitment Making Officials and Providers must examine the concept of the Contract covering substance, language, editorial, numbers and letters and affix initials to each Contract Document sheet.
43.7. Establish the hierarchy order of the Construction Work Contract (Letter of Employment Agreement) / addendum Agreement (if any),
a. addendum to the Agreement (if any);
b. Agreement letter;
c. The offer letter follows the List of Quantities and Prices;
d. Contract Specific Terms;
e. General Conditions of Contract;
f. technical specifications; and
g. Images.
with the intention that if there is a conflict of provisions between part one and another part, then the order of the legal hierarchy applies.
43.8. The number of multiple contracts is made as needed, namely:
a. at least 2 (two) original contracts, consisting of:
1) the first original contract for the Commitment Making Officer is stamped in the section signed by the provider; and
2) the second original contract for the provider affixed a seal to the part signed by the The Commitment Making Officer;
b. duplicate other contracts (if needed) without a stamp.
43.9. The party authorized to sign the contract on behalf of the provider is the president director / leader of the company or whose name is listed in the Deed of Establishment / Articles of Association, which has been registered in accordance with the laws and regulations.
43.10. Other parties who are not the main director / head of the company or whose names are not mentioned in the Deed of Establishment / Articles of Association, can sign a Contract, as long as the party is a manager / employee of the company who is a permanent laborer and authorized or delegated legal authority from the president director / company leaders / management or legitimate parties based on the Deed of Establishment / Articles of Association to sign the Contract.
43.11. The Commitment Making Officials input contract data and upload the scan results of contract documents that have been signed on the Electronic Procurement System application.
